Terms and Conditions

Welcome to Resolve! These Terms and Conditions ("Terms") govern your access to and use of the Resolve platform (the "Platform"), provided by Aconite Software & Investments Lda, a company registered in Portugal ("Company"), and apply to all users, whether Customers or Professionals.

By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Platform.

Please read these Terms carefully. They contain important information about your rights and obligations, as well as limitations of liability, dispute resolution, and your relationship with the Company.

Your use of the Platform is also governed by our Privacy Policy, available at https://rslv.pro/privacy, and any applicable Data Processing Addendum for GDPR compliance.

1. Definitions

For the purposes of these Terms, the following definitions apply:

Customer

Means any individual or entity using the Platform to seek services from Professionals.

Professional

Means any individual or entity registered on the Platform to offer services to Customers.

Platform

Means the online platform Resolve and all associated websites, applications, and services provided by the Company.

Request

Means a description of a service requirement posted by a Customer on the Platform.

Content

Means any information, data, text, software, music, sound, photographs, graphics, video, messages, tags, or other materials posted, uploaded, or otherwise made available on the Platform.

2. Platform Purpose

The Platform is designed to connect Customers seeking services with Professionals offering those services. The Company acts solely as an intermediary and does not guarantee the performance or quality of services provided by Professionals.

Limited Role

The Company provides a platform for connection and communication but is not a party to any agreements between Customers and Professionals. All arrangements, including pricing, scope of work, and payment terms, are solely between Customers and Professionals.

No Guarantee

The Company does not guarantee that Customers will find suitable Professionals or that Professionals will secure engagements through the Platform.

Independent Contractors

Professionals are independent contractors and not agents, employees, or representatives of the Company. The Company does not supervise or control the manner in which Professionals perform services.

3. User Responsibilities

Both Customers and Professionals are responsible for their conduct on the Platform and for any content they post or transmit.

Accurate Information

Users must provide accurate and up-to-date information in their profiles and listings.

Legal Compliance

Users must comply with all applicable laws and regulations when using the Platform and providing or seeking services.

Appropriate Conduct

Users must not engage in any conduct that is harmful, offensive, illegal, or otherwise violates these Terms or the rights of others.

4. Subscription and Payments

Access to certain features of the Platform may require a paid subscription. Payment terms and conditions are outlined below:

Subscription Fees

Subscription fees are payable in advance and are non-refundable, except as expressly provided in these Terms or required by applicable law.

Payment Methods

Users must provide a valid payment method and authorize the Company to charge subscription fees and other applicable charges.

Changes to Fees

The Company reserves the right to change subscription fees at any time. Notice of any fee changes will be provided to users in advance.

5. Limitation of Liability and Warranties

To the fullest extent permitted by applicable law, the Company disclaims all warranties and shall not be liable for any damages arising out of or in connection with your use of the Platform or the services provided by Professionals.

Warranty Disclaimer

THE PLATFORM AND ITS CONTENT ARE PROVIDED "AS-IS" AND "AS-AVAILABLE," WITHOUT ANY WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

No Liability for User Conduct

The Company is not responsible for the actions, omissions, or content of Customers or Professionals. Any disputes or issues arising from their interactions are solely between the parties involved.

No Guarantee of Service Quality

The Company does not guarantee the quality, safety, or suitability of services provided by Professionals. Customers are responsible for evaluating and selecting Professionals at their own risk.

Cap on Damages

To the maximum extent permitted by law, the Company's total liability shall not exceed the greater of (a) the fees paid by you under these Terms in the 12 months preceding the claim, or (b) €100.

Force Majeure

The Company is not liable for any delay or failure to perform resulting from causes beyond its reasonable control, including natural disasters, internet outages, or acts of government.

6. Indemnification

You agree to defend, indemnify, and hold harmless the Company and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses arising out of or in connection with your use of the Platform or breach of these Terms.

7. Intellectual Property

The Platform and its content, including but not limited to text, graphics, logos, and software, are the property of Aconite Software & Investments Lda and are protected by copyright and other intellectual property laws.

Limited License

Users are granted a limited, non-exclusive, and non-transferable license to access and use the Platform for its intended purpose.

Restrictions

Users may not copy, modify, distribute, or create derivative works based on the Platform or its content without the express written consent of the Company.

8. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Portugal.

Any dispute arising out of or relating to these Terms shall be resolved through binding arbitration in Lisbon, Portugal, except that either party may bring claims in small claims court if eligible.

You and the Company each waive any right to a jury trial or to participate in a class-action lawsuit.

9. General Provisions

Entire Agreement

These Terms constitute the entire agreement between you and the Company with respect to the Platform and supersede all prior or contemporaneous communications and proposals, whether oral or written.

Modification

The Company reserves the right to modify these Terms at any time. We will provide notice of significant changes, and your continued use of the Platform after such notice constitutes acceptance.

Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall continue in full force and effect.

Waiver

No waiver of any provision of these Terms shall be effective unless in writing and signed by the waiving party.

Privacy and Data Security

Your use of the Platform is subject to our Privacy Policy, which outlines how we collect, use, and protect your personal data.

10. Insurance Requirements

Professionals who claim any specialized credentials or hold a Verified badge must maintain appropriate liability insurance for their services and provide proof upon request.

11. Termination

The Company reserves the right to terminate your access to the Platform at any time, with or without cause.

User Termination

Users may terminate their accounts at any time by following the instructions on the Platform.

Effect of Termination

Upon termination, your right to access and use the Platform will immediately cease.
